These Terms of Service (“Terms”) govern your access to and use of the websites codeuro.com, codeuro.eu, codeuro.shop, related subdomains, and any associated services, dashboards, or applications provided by COD Euro (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who We Are

2. Eligibility

You may use the Services only if:

  • You are at least 18 years old (or the age of majority in your jurisdiction).
  • You have the legal capacity to enter into a binding contract.
  • You are using the Services for business or professional purposes (not as a consumer).

By registering, you represent and warrant that this is the case.

3. Roles: Sellers and Affiliates

COD Euro connects sellers and affiliates, and provides COD operations.

  • Sellers: Provide the products, set pricing, and authorize COD Euro to handle logistics and COD operations (and, where applicable, affiliate programs).
  • Affiliates: Promote offers provided through COD Euro and receive commissions on approved conversions.

Different features may be available depending on whether you register as a seller or an affiliate. You must provide accurate information regarding your role and business.

4. Account Registration and Security

To use certain parts of the Services, you must create an account.

You agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials confidential.
  • Notify us promptly of any unauthorized use of your account or security breach.

You are responsible for all activities that occur under your account, unless caused by COD Euro’s negligence.

We may suspend or terminate accounts that:

  • Provide false information.
  • Violate these Terms.
  • Pose fraud, credit, legal, or reputational risk.

5. Services for Sellers

5.1 Scope of Services

Subject to these Terms and any separate commercial agreement, COD Euro may provide to sellers:

  • Warehousing and inventory handling.
  • Order processing, packaging, and shipping.
  • Cash on Delivery (COD) collection services.
  • Call center services for order confirmation and customer support (where available).
  • Reporting and analytics dashboards.
  • Optional affiliate program management (where the seller’s offers are promoted by affiliates).

Exact services available depend on your plan, country, and operational capabilities at the time.

5.2 Seller Obligations

Sellers agree to:

  • Provide lawful products, compliant with all applicable laws and platform rules.
  • Ensure that product descriptions, prices, and claims are accurate and not misleading.
  • Inform COD Euro in writing of any regulatory or special handling requirements.
  • Maintain sufficient stock and timely replenishment.
  • Pay the agreed fees to COD Euro (e.g., fulfillment fees, COD fees, service fees).

Sellers are solely responsible for:

  • Product quality and safety.
  • Compliance with labeling, packaging, and regulatory requirements.
  • Any warranties or guarantees offered to end customers.

COD Euro may refuse or discontinue handling products that are illegal, high-risk, or incompatible with our infrastructure.

5.3 Fees and Payouts to Sellers

Fees for services (fulfillment, COD, call center, etc.) will be agreed separately and may be:

  • Per-order fees.
  • Percentage-based fees.
  • Fixed monthly fees.

COD Euro will remit COD amounts collected from customers, minus fees and any agreed holds or reserves, to the seller according to the agreed payout schedule.

We may:

  • Apply reserves, holds, or delays in payouts in case of disputes, chargebacks, fraud suspicion, or non-compliance.
  • Set minimum payout thresholds.

6. Services for Affiliates

6.1 Affiliate Program

Affiliates can sign up to access and promote offers available on COD Euro’s platform.

Affiliates agree to:

  • Promote offers only through channels and methods allowed by COD Euro and the offer terms (e.g., traffic sources, geos, creatives).
  • Comply with all applicable advertising laws, platform policies (e.g., Meta, Google), and industry standards.
  • Avoid misleading, offensive, deceptive, or illegal advertising practices.

We may approve, reject, or remove affiliates at our discretion.

6.2 Commissions and Payouts

Affiliates may earn commissions for approved conversions, as defined in the offer terms (e.g., confirmed COD order, no cancellation within a defined period).

The applicable rules include:

  • Commission rates, caps, and payout frequency are defined per offer or in your account.
  • “Verified” or “approved” sale is determined according to COD Euro’s internal rules and verification process (which may include order confirmation, fraud checks, and cancellation monitoring).
  • Payouts may be fast (e.g., near real-time) for trusted affiliates and slower or subject to holds for new or higher‑risk affiliates.
  • We may set minimum payout thresholds and payment methods (e.g., bank transfer, Wise, PayPal).

COD Euro reserves the right to:

  • Reject or reverse commissions for suspected fraud, invalid traffic, duplicate, cancelled, or returned orders.
  • Adjust commissions if the advertiser/seller disputes the transaction or if it violates offer terms.

7. Prohibited Activities

You may NOT use the Services to:

  • Violate any law, regulation, or third‑party rights.
  • Promote or sell illegal, counterfeit, or restricted products.
  • Engage in fraud, fake orders, incentivized fake leads, or other abusive behavior.
  • Use misleading, deceptive, or non‑compliant ads (including false claims, fake testimonials, or unauthorized brand usage).
  • Interfere with or disrupt the Services or security of any system.
  • Attempt to reverse engineer, decompile, or misuse our software.

COD Euro may investigate any suspected violations and may suspend or terminate accounts or withhold payouts if abuse is suspected.

8. Intellectual Property

All content and materials on the Services (software, text, graphics, logos, dashboards, etc.) are owned by COD Euro or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes as a seller or affiliate, subject to these Terms.

You may not:

  • Copy, reproduce, distribute, or create derivative works of the Services except as allowed by law.
  • Remove or alter any proprietary notices.

You retain ownership of your own content (e.g., product listings, creative assets you upload), but grant COD Euro a license to use, reproduce, and display such content as needed to provide the Services.

9. Data Protection & Privacy

Our processing of personal data is governed by our Privacy Policy, which explains how we collect, use, and protect personal data.

By using the Services, you acknowledge and agree that we will process personal data in accordance with the Privacy Policy and applicable data protection laws.

If you provide personal data of others (e.g., customer data, team members), you confirm that you have the lawful right to do so and that you have provided any required notices and obtained any required consents.

10. Service Availability and Changes

We aim to provide the Services with reasonable skill and care. However:

  • We do not guarantee uninterrupted or error‑free operation.
  • We may modify, suspend, or discontinue some or all features or services, with or without notice, especially for maintenance, security, or business reasons.

We may introduce new features or change pricing and will notify active users where changes are material.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. COD Euro disclaims all warranties, express or implied, including:

  • Fitness for a particular purpose.
  • Non‑infringement.
  • Expected performance (e.g., minimum conversion rates, earnings).

COD Euro does not guarantee:

  • That you will achieve any particular sales volume, profit, or conversion rate.
  • That any specific offer, GEO, or payout rate will remain available.

You use the Services at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law:

  • COD Euro will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to the use of the Services.
  • COD Euro’s total aggregate liability arising out of or related to the Services and these Terms will not exceed the total fees paid by you to COD Euro in the three (3) months preceding the event giving rise to the claim (or another amount required by law).

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (e.g., for fraud or intentional misconduct).

13. Indemnification

You agree to indemnify and hold harmless COD Euro, its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services.
  • Your products, ads, or content.
  • Your breach of these Terms or violation of any law or third‑party rights.

14. Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, if:

  • You breach these Terms or any applicable policies.
  • We suspect fraud, abuse, or illegal activity.
  • We are required to do so by law or a competent authority.

You may terminate your account at any time by contacting us or using the account settings (where available). We may retain certain data as required by law or for legitimate business purposes (e.g., accounting, fraud prevention).

On termination:

  • Your right to access the Services ends.
  • Outstanding fees remain payable.
  • Legitimately earned but unpaid commissions or payouts may still be paid, subject to reserves or holds for fraud/chargeback risk.

15. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we will notify you by email, in‑dashboard notice, or by updating the “Last updated” date. Your continued use of the Services after changes become effective implies acceptance of the updated Terms.

If you do not agree to the updated Terms, you should stop using the Services and close your account.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of Portugal, without regard to conflict of law rules.

You agree that the courts of Madeira, Portugal shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or the Services, subject to any mandatory law that provides otherwise.

17. Miscellaneous

  • Entire Agreement: These Terms, together with any specific agreements or policies referenced, constitute the entire agreement between you and COD Euro concerning the Services.
  • Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
  • No Waiver: Failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations as part of a merger, acquisition, or asset sale.
